Terms & Conditions
The following Terms & Conditions apply to all goods and services provided by Your Friend That Sews.
1. Introduction
These Terms and Conditions ('Terms') apply to all goods and services provided by Your Friend That Sews. By placing an order with us, you agree to be bound by these Terms. Agreement to these Terms is assumed upon approval of any estimate, proposal, or invoice.
2. Services Provided
We specialize in the design, fabrication, and supply of soft furnishings, including but not limited to curtains, blinds, cushions, valances, upholstery, and related décor items ('Products'). We may also assist with procurement of furniture, hardware, and specialty items. Any such purchases will be agreed upon in writing and may be invoiced separately.
2A. Scope of Work
Work is limited to the services and items listed in the agreed proposal or quotation. Additional requests or changes must be confirmed in writing and may result in additional charges and extended timelines.
3. Orders and Quotations
• All quotations are valid for 30 days.
• Orders and pricing are confirmed with deposit payment.
• Amendments may affect cost and lead time.
• Specialty items are sold at suggested retail price from authorized vendors, unless otherwise agreed.
3A. Procurement of Specialty Items
Items purchased through us from authorized vendors are non-cancellable and non-refundable. Vendor warranties and delivery terms apply directly between client and vendor.
4. Deposits and Payments
• A non-refundable deposit of 50% is required at the time of order confirmation.
• The balance must be paid in full prior to delivery or pickup.
• All goods remain property of Your Friend That Sews until paid in full.
4A. Late Payments
Late balances may incur 1.5% interest per month (or maximum permitted by law). Production and delivery may be suspended until payment is received.
4B. Fabrication Schedule
Projects are scheduled in the order deposits are received. A project enters the queue only once the deposit clears.
5. Lead Times and Delivery
Lead times are estimates only. We are not liable for supplier or shipping delays.
6. Fabrics and Materials
• We cannot guarantee dye lot matches.
• Natural variations are not faults.
• Customer-supplied fabrics (COM) are accepted at your own risk.
• A surcharge of 10–20% applies to COM to cover handling and liability.
7. Fabric Allowances and Wastage
Extra yardage and fees may be required for repeats, joins, and flaws. Surplus fabric remains client property unless stated otherwise. Any leftover or excess fabric from your project will be returned to you if requested at the time of order. If the client does not pick up, claim, or wish to retain the surplus fabric within 30 days of project completion, the fabric will be considered abandoned. Your Friend That Sews reserves the right to retain, repurpose, or dispose of such fabric at its sole discretion.
8. Storage of Customer-Supplied Fabric
Customer fabric and product is stored at your own risk. Deliver no more than 2 weeks before production. We do not provide long-term storage.
9. Measurements, Consultations, and Installation
• If we measure, the fit is guaranteed.
• If you provide measurements, errors are your responsibility.
• Initial consultation is free within 30 miles of our studio; trip charges apply beyond.
• Rooms must be prepared and accessible. Extra visits may be charged.
10. Installation and Site Access
Clear access must be provided. We are not responsible for pre-existing structural or surface conditions.
11. Cancellations and Refunds
Orders cannot be cancelled after work has begun. Deposits are non-refundable. Refunds are provided only for workmanship faults.
12. Care and Maintenance
Care instructions will be provided. We are not responsible for damage due to misuse, sunlight, humidity, or normal wear.
13. Limitation of Liability
Our liability is limited to the value of the product supplied. We are not liable for indirect or consequential losses.
14. Intellectual Property
Designs, drawings, and concepts remain our property.
14A. Photography Rights
We reserve the right to photograph completed work for portfolio and marketing. Client identity and address will remain confidential unless written permission is granted.
15. Force Majeure
We are not liable for delays caused by events beyond our control.
16. Governing Law
These Terms are governed by the laws of state of Minnesota, USA.
